NEW YORK, Sept. 12, 2014 /PRNewswire/ -- Harwood Feffer LLP (www.hfesq.com) is investigating potential claims against the board of directors of Conversant, Inc. ("Conversant" or the "Company") (NASDAQ: CNVR) concerning the proposed acquisition of the Company by Alliance Data System Corporation ("ADS") in a transaction valued at approximately $2.3 billion.
On September 11, 2014, Conversant announced that it had entered into a definitive agreement pursuant to which the Company will be acquired by ADS. Under the terms of the agreement, Epoch shareholders will receive an estimated $35.00 per share payable in both cash and ADS stock. As a result of the proposed transaction, Conversant shareholders will hold only 7% of ADS stock after the transaction.
