("Credo" or the "Company") (NASDAQ: CRED) concerning the proposed acquisition of the Company by Forestar Group Inc. ("Forestar") in a transaction valued at approximately $146 million.

On June 4, 2012, it was announced that Credo and Forestar have entered into a definitive agreement pursuant to which Forestar will acquire Credo. Under the agreement, Credo shareholders will receive $14.50 in cash per share held.
