A class action lawsuit against Storage USA, Inc. ("SUS"), and certain officers and directors of SUS, was commenced in Chancery Court of Shelby County, Tennessee on behalf of investors who are or will be threatened with injury arising out of a plan whereby Security Capital Group, Inc. ("Security Capital") will pay $42.00 for each publicly-held share of SUS to take SUS private.
The Complaint specifically alleges that the proposed transaction is unfair to existing public stockholders in light of the strong financial results recently reported by SUS. The Individual Directors of SUS are and will continue to be in breach of their fiduciary duties owed to the SUS public shareholders.
